These terms cover two things: how you may use this website (Part A) and how you may use the templates you buy (Part B). Please read them before you buy.

1. Who we are

Shipshape Sheets is a brand of ADSPIRE GmbH, Im RhyTech 3, 8212 Neuhausen am Rheinfall, Switzerland (“we”, “us”). We create the templates and hold the rights to them. You can reach us at d.delucia@adspire.ch. Full company details are in our Legal Notice.

Part A: Using this website

2. Purpose of the website

This website describes our products and links to the Digistore24 order page. Its content, including examples, sample figures and calculators, is general information. It is not tax, legal, accounting or financial advice.

3. Content and rights

Texts, images, screenshots, designs, the Shipshape Sheets name and logo, and all other content on this website are protected by copyright and other intellectual property rights. You may view the website and print or save pages for your own reference. Any other use, such as copying content to other websites or products, requires our prior written permission.

4. Fair use

Please do not misuse this website, for example by trying to gain unauthorized access, interfering with its operation or collecting its content with automated tools for commercial purposes.

We aim to keep the website available and accurate but cannot guarantee uninterrupted availability. Links to other websites, such as Digistore24, Microsoft or Google, lead to content we do not control. The terms and privacy policies of those websites apply there.

Part B: Buying and using the templates

6. The products

Depending on your order, the products are:

  • The Back Office Kit: the linked Back Office workbook, 18 tools (spreadsheet files, .xlsx) and the Quick Start Guide (PDF)
  • Client Paperwork Pack (optional add-on at checkout): 7 document templates (.docx)
  • The Estimating Pack (optional offer after purchase): 6 estimating tools (.xlsx)

In these terms, all of these files are called the “templates”. You receive them as an instant download (ZIP file) after purchase.

Compatibility: Microsoft Excel 2016 or newer on Windows and Mac, Microsoft 365, and Google Sheets. No macros. The document templates open in Microsoft Word and Google Docs. You need one of these programs yourself; they are not part of our products.

7. Your purchase is with Digistore24

7.1 We do not sell the templates to you directly. The seller and your contracting party for the purchase is Digistore24, acting as reseller (merchant of record). Depending on your country, this is Digistore24 GmbH, St.-Godehard-Strasse 32, 31139 Hildesheim, Germany, or Digistore24 Inc., United States. The company that sells to you is named on the order form and on your invoice.

7.2 Ordering, conclusion of the contract, prices, taxes, payment, invoicing, delivery of the download, warranty, any statutory right of withdrawal and refunds are governed by the terms of that Digistore24 company, which are shown to you during checkout. Please direct questions about your order, payment or a refund to Digistore24.

7.3 60-day money-back guarantee: Every purchase comes with a 60-day money-back guarantee, starting on the date of purchase. You do not need to give a reason. Refunds are handled by Digistore24; you request them from Digistore24 (https://www.digistore24.com). This guarantee is in addition to any statutory rights you have and does not limit them.

7.4 Consumers in the EU and the UK: If you buy as a consumer, you may also have a statutory right of withdrawal. For digital content, this right can end early if you expressly agree at checkout that delivery starts before the withdrawal period ends and confirm that you know this. The withdrawal information of Digistore24 applies. The 60-day money-back guarantee remains available to you either way.

7.5 These terms add product-specific license terms to the Digistore24 terms. They do not limit any rights you have against Digistore24.

8. Your license

8.1 Once you have paid in full, you receive a non-exclusive, non-transferable license, without time limit, to use the templates you bought for your own business.

8.2 This means you may:

  • download the templates and store them on your own devices and in your own cloud storage (for example OneDrive or Google Drive),
  • fill in, change, adapt and expand the templates, including adding your logo, prices and rates,
  • use the templates as often as you like within your business, including by your employees and contractors when they work for your business,
  • create quotes, invoices, letters, reports and other documents with the templates and send them to your own clients, suppliers, accountant or tax advisor,
  • make backup copies.

8.3 The documents you create with the templates, and all data you enter, belong to you.

9. What is not allowed

9.1 Without our prior written permission, you may not:

  • sell, rent, give away or otherwise pass on the templates or parts of them, whether blank, filled with sample data or modified, to anyone outside your business,
  • share the templates or your download link publicly or in groups, for example in forums, Facebook groups, marketplaces, shared cloud folders, courses or membership sites,
  • offer the templates or substantial parts of them as your own product, template, course or service, or include them in one,
  • use the templates to provide services to other businesses, for example setting up or running them for clients as a bookkeeper, consultant or agency,
  • remove copyright or brand notices from the templates.

9.2 Passing on a single filled-in document you created, such as a quote or invoice to your client, is of course allowed (see 8.2).

9.3 If you seriously breach this section, we may end your license after giving you a warning with a reasonable deadline. No warning is needed if it would obviously be pointless, for example in the case of deliberate resale. Other legal claims remain reserved.

The templates, including their structure, formulas, layouts, texts and the Quick Start Guide, are protected by copyright. All rights not expressly granted to you in section 8 remain with us.

11. End of the license after a refund

If you withdraw from the purchase or receive a refund under the money-back guarantee, your license for the refunded templates ends. You must then stop using them and delete the files you downloaded. You may keep the documents you created and the data you entered.

12.1 The templates are tools that help you organize your quotes, invoices, expenses and other business records and do calculations. They are not tax, legal, accounting or financial advice and do not replace an accountant, tax advisor or lawyer.

12.2 The templates calculate with the values you enter, including tax rates for sales tax, VAT or GST, markups, labor costs and production rates. We do not provide or confirm tax rates or other figures for your location or trade. Sample data in the templates is made up and marked as such.

12.3 You are responsible for checking the results before you rely on them, for example before sending a quote or invoice, filing a tax return or making a business decision. Invoices you create must meet the requirements that apply to your business (for example mandatory information under your local tax rules). Please check this with your accountant or tax advisor.

12.4 The document templates in the Client Paperwork Pack are practical forms and letters. They are not legal contracts and have not been reviewed for the law of your state or country. Have important agreements reviewed by a lawyer.

12.5 We provide the templates as described. We do not promise any particular business result, such as higher profit, more jobs or faster payment.

13. Your data in the templates

The templates do not send any data to us or to anyone else. You decide what you enter, where you store the files and who can access them. If you enter personal data of your clients or employees, you are responsible for handling it in line with the privacy laws that apply to you. Keep backups of your files; we do not store copies of your data. Details are in our Privacy Policy.

14. Warranty and updates

14.1 Claims for defects in the templates are governed by your contract with Digistore24 and by the mandatory law that applies to you. These terms do not limit those rights.

14.2 If a template contains an error that prevents it from working as described, please email us. We will correct it and make the corrected file available to you. Beyond that, we do not owe new versions, new features or adjustments to future changes in tax rules or software.

15. Liability

15.1 We are liable without limitation for damage we cause intentionally or through gross negligence, for injury to life, body or health, and under mandatory product liability law.

15.2 In all other cases, our liability is excluded to the extent permitted by law. In particular, we are not liable for lost profits, tax penalties or interest, lost data or other indirect or consequential damage resulting from the use of the templates or from figures you did not check. Where liability cannot be excluded, it is limited to the amount you paid for the template concerned.

15.3 These limitations also apply in favor of our employees and agents.

15.4 Nothing in these terms limits any rights you have under mandatory consumer protection law of the country where you live.

16. Changes to these terms

For your purchase, the version of these terms published at the time of your purchase applies. Later changes only apply to you if you agree to them. For the use of the website, the version currently published applies.

17. Governing law and place of jurisdiction

17.1 These terms are governed by Swiss law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

17.2 If you are a consumer, this choice of law does not deprive you of the protection of mandatory consumer protection provisions of the law of the country where you have your habitual residence.

17.3 If you are a business, the place of jurisdiction is the registered office of ADSPIRE GmbH in Neuhausen am Rheinfall, Switzerland. If you are a consumer, the courts that have jurisdiction under the law that applies to you remain available to you, in particular the courts where you live.

17.4 The purchase contract with Digistore24 is governed by the law and place of jurisdiction set out in the terms of the Digistore24 company that sells to you.

18. Dispute resolution and contact

19. Final provisions

If any provision of these terms is invalid, the remaining provisions remain valid. The invalid provision is replaced by the statutory rule.
